Privately held businesses sometimes require a business valuation in certain legal transactions (i.e., Trust and Estate Tax Planning, Litigation, Buy-Sell Agreements, M&A, etc.). Attorneys may be involved in the business valuation process and should know when to direct the valuation analyst in preparing a valuation. Lawyers will benefit by gaining an understanding of widely used and commonly accepted business valuation approaches and methods to assist their clients or review valuation reports prepared by other parties. Additionally, attorneys will benefit from gaining an understanding of how businesses are valued and the key drivers contributing to value.
Presented by LEAP Legal Software and featuring Certified Public Accountant and Certified Valuation Analyst Joe Cecere from the Valuation Services Group at the Andersen accounting firm, Business Valuation 101 will provide lawyers with a foundational understanding of business valuation. During this continuing legal education course, we will review situations where a business valuation may be necessary along with an overview of business valuation techniques.
This program will benefit attorneys practicing in a wide variety of areas of law and is designed for both attorneys that have never seen a business valuation report as well as those that review these types of reports regularly.

This program is eligible for 1 hour(s) of CLE credit in 60-minute states, and 1.2 hour(s) of CLE credit in 50-minute states. Credit hours are estimated and are subject to each state’s approval and credit rounding rules.
LEAP will seek MCLE accreditation in CA, CT, FL, IL, NJ, NY, PA, and RI. Additional states may be requested upon completion of the course.

Joe Cecere is a Certified Public Accountant with over 15 years of experience in public accounting and preparing business valuations for tax planning, litigation support, financial reporting, and financial planning & analysis. Joe also provides valuation services of privately held interests for gift and estate tax planning and financial reporting. Joe also specializes in valuations of carried interests for general partners of private equity capital funds for tax planning purposes. Joe is Accredited in Business Valuation (ABV) and is a Certified Valuation Analyst (CVA). Joe has served as an expert on business valuations in various mediation and litigation contexts, and has also served as a speaker on business valuation and cash flow issues as they relate to matrimonial litigation. Joe works at Andersen, one of the largest independent tax firms in the United States, providing a wide range of tax valuation, financial advisory, and related consulting services to individuals, commercial clients, and alternative investment funds. Joe resides in the New York City area.
Sy Justin Sommer is the Director of Product Enablement at LEAP Legal Software. Sy is a 2010 graduate of Fordham Law School and is an attorney admitted to practice in the State of New York. Sy began his career in the Family Law Department of Manhattan law firm Davidoff Hutcher & Citron LLP. After three years with DHC, Sy took a role with JPMorgan Chase Bank in Brooklyn, NY where he served as an Associate Vice President Senior Counsel in the bank’s Mortgage Banking Litigation group. In 2018, Sy sought to apply his legal education and experience in the legal technology space and joined LEAP with excitement to further the company’s mission of helping attorneys to be more productive with cloud technology. Despite being a born and raised New Yorker, Sy currently resides in Jersey City, New Jersey.
